      1. Participants must be residents of the United Kingdom; have a postal address in the United Kingdom; have a valid Instagram account; and be aged 18 or over.

Participants must be a resident of a state within the United States (other than one of the Excluded Jurisdictions as indicated in Section 2(2)(2) below) or a resident of the District of Columbia; have a postal address in the United States; have a valid Instagram account; and be aged 18 or over.
      2. The Prize Draw is not open to residents of the following states: Arizona and Rhode Island (“Excluded Jurisdictions”).

The Prize Draw is not open to directors, members, partners, employees, agents or consultants of Radley or its affiliates, any person who directly or indirectly controls or is controlled by Radley, or any supplier of goods or services in connection with the Prize Draw, or their spouses, life partners, business partners or immediate family members.

3. How does the Prize Draw work?
   1. To enter the Prize Draw on Instagram (www.instagram.com/radleylondon), during the Prize Draw Period participants must:
      1. Follow Radley on Instagram and continue to do so through the end of the Prize Draw Period;
      2. Like the Rad-vent Giveaway Week Three Instagram post setting out the Entry instructions for this Prize Draw (the “Instagram Prize Draw Post”); and
      3. Post in the comment section of the Instagram Prize Draw Post tagging another Instagram account as the person you'd share the prize with and “#prizedraw”,
         
         (together an “Entry”).
         
         
   2. Each participant can only enter the Prize Draw once. Only the first Entry by each participant will be accepted and constitute a valid Entry. For the avoidance of doubt, if a participant has entered more than once, only their first Entry will be entered into the Prize Draw.
   3. All Entries must be received by Radley during the Prize Draw Period or they will be void. For the avoidance of doubt, Radley will not acknowledge receipt of Prize Draw Entries nor will it accept responsibility for:
      1. Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal or other delivery failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or
      2. any change in dates, times or cancellations or other arrangements that may prevent a winner from accepting, taking or using a Prize.
   4. On Friday 22^nd December, 1 winner will be selected at random, using a random computer-generated process, from all valid Entries received across the UK and US. The location at which the winner will be drawn is Radley’s address as identified above. Odds of winning will depend on the number of valid Entries received.
   5. The winner will be notified on Friday 22^nd December via Instagram Direct Message to the account used to enter the Prize Draw (“Notification”).
   6. For the name of the Prize winner, send a self-addressed, stamped envelope to the address set out in clause 1(2), within ninety (90) days of the end of the Prize Draw Period. Where legally required, this will be subject to the winner’s consent.
   7. The prize must be claimed in accordance with the instructions in the Notification message, within 7 days of the Notification (the “Claim Period”). In order to receive their Prize, the winner will also need to provide Radley with any further information requested by Radley, in accordance with the instructions set out in the Notification within this Claim Period. Further, Radley may, in its sole discretion, require the winner to complete and sign before a notary an affidavit which, among other things, confirms the winner’s compliance with these Terms and reaffirms certain of the provisions set forth in these Terms. Failure to claim the Prize in accordance with this clause 3(7) will result in the forfeit of the Prize and an alternative winner will be chosen.
   8. The winner will receive the Prize within one month of the date they provide Radley with the information requested in the Notification (as set out in clause 3(7)).
   9. The winner may be required to provide Radley with proof of identification and of legal residence in order to verify compliance with the eligibility requirements for the Prize Draw.
   10. If the winner is found to be ineligible or fails to comply with the Terms, Instagram’s terms of use or otherwise acts in a manner that affects the administration, security, fairness, or proper conduct of the Prize Draw, then the winner may, in Radley’s sole discretion, be disqualified and an alternate winner will be selected.

   5. The winner may share the Prize with the owner of the tagged account if they wish. Radley accepts no responsibility for ensuring that the owner of the account tagged by the winner in the Instagram Prize Draw Post receives the Prize or any part thereof.

   1. Radley reserves the right to amend the rules of the Prize Draw, to withdraw the Prize Draw at any time if circumstances beyond its control make this unavoidable, or to cancel the Prize in the event of non-compliance with these Terms.

Terms & Conditions for the Hampton Manor Grace & Savour Social Media Prize Draw

(the “Prize Draw”)

1. Introduction

a) The Prize Draw is organised and run by Radley + Co Ltd (“Radley”), who can be contacted at Etheridge Avenue, Brinklow, Milton Keynes, MK10 0BP .

b) By entering this Prize Draw you agree to these Terms and Conditions (the “Terms”) and any decisions reached by Radley, which are final and binding in all matters related to this Prize Draw.

c) The Prize Draw starts at 28/10/23 at 8:00 BST and ends at 31/10/23 at 09:00 GMT (the “Prize Draw Period”).

2. Who can enter this Prize Draw?

a) Participants must:

i. have a valid Facebook, or Instagram account; 

ii. be a resident of the United Kingdom with a United Kingdom postal address; and

iii. be aged 18 or over. 

b) The Prize Draw is not open to directors, members, partners, employees, agents or consultants of Radley, any person who directly or indirectly controls or is controlled by Radley, or any supplier of goods or services in connection with the Prize Draw, or their spouses, life partners, business partners or immediate family members.

c) By entering the Prize Draw you hereby warrant that all information submitted by you is true, current and complete. Radley reserves the right to verify the eligibility of all participants and disqualify a participant for submitting false information.

3. How does the Prize Draw work?

a) No purchase is necessary to enter the Prize Draw and entry is free. 

b) To enter the Prize Draw on Facebook, during the Prize Draw Period participants must:

i. Follow Radley (www.facebook.com/RadleyLondon) and Hampton Manor (www.facebook.com/HamptonManorPeels) on Facebook;

ii. Like the Radley London x Hampton Manor Facebook post setting out the Entry instructions for this Prize Draw (the “Facebook Prize Draw Post”);

iii. Post in the comment section of the Facebook Prize Draw Post tagging another Facebook account as the  “person you’d like to take with you”.

    (together an “Entry”). 

c) To enter the Prize Draw on Instagram (www.instagram.com/radleylondon), during the Prize Draw Period participants must:

i. Follow @RadleyLondon and @HamptonManor on Instagram; 

ii. Like the Radley London x Hampton Manor Instagram post setting out the Entry instructions for this Prize Draw (the “Instagram Prize Draw Post”); and

iii. Post in the comment section of the Instagram Prize Draw Post tagging another Instagram account as the “person you’d like to take with you”.

    (together an “Entry”). 

d) Each participant can only enter the Prize Draw once per platform, through Facebook (as set out in clause 3(b) above) or Instagram (as set out in clause 3(c) above). Only the first Entry for each platform by each participant will be accepted and constitute a valid Entry. For the avoidance of doubt, if a participant has entered more than once on one platform, only their first Entry will be entered into the Prize Draw.  

e) All Entries must be received by Radley during the Prize Draw Period or they will be void. Radley will not accept responsibility for:

i. Prize Draw Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or

ii. any change in dates, times or cancellations or other arrangements that may prevent a winner from accepting, taking or using a prize.

f) On 01/11/23, 1 winner will be selected at random, using a random computer-generated process, from all valid Entries received. 

g) The winner will be notified on 01/11/23 via Instagram DM or Facebook messenger to the account that they used to enter (“Notification”).   

h) The prize must be claimed in accordance with the instructions in the Notification message, within 7 days of the Notification (the “Claim Period”). In order to receive their Prize, the winner will also need to provide Radley with any further information requested by Radley, in accordance with the instructions set out in the Notification within this Claim Period. 

i) Failure to claim the Prize in accordance with the instructions in the Notification within the Claim Period will result in the forfeit of the Prize and an alternative winner will be chosen. 

j) The winner will receive the Prize within 30 days of the date they provide Radley with the information as set out in paragraph 3(h).

k) The winner may be required to provide Radley with proof of identification in order to verify compliance with the eligibility requirements for the Prize Draw.

l) If a winner is found to be ineligible or fails to comply with the Terms, then the winner may, in Radley’s sole discretion, be disqualified and an alternate winner will be selected.

4. What is the Prize?

a) There will be 1 winner, across Facebook and Instagram.

b) The winner will receive:

i. One Grace & Savour dine & stay experience for two people at Hampton Manor, Shadowbrook Lane, Hampton-In-Arden, B92 0EN (the “Stay”). The Stay includes an arrival drink and snack with a tour of the walled garden, a 15-course dinner with adventure wine tasting, and one night in a walled garden suite in Grace & Savour, including breakfast. 

ii. Travel to the Stay (up to the combined value of £400) to be reimbursed by Radley upon provision of a valid receipt.

iii. Two Radley London bags selected from the website (up to the combined value of £500) (the “Radley Bags”).

(together the “Prize”).

c) The winner may bring the owner of the tagged account to the Prize if they wish, and the winner may give one of the selected Radley Bags to the owner of the tagged account if they wish. The Radley Bags will be posted to the winner, Radley accepts no responsibility for ensuring that the owner of the account tagged by the winner in the Instagram or Facebook Prize Draw Post receives the Prize or any part thereof.

d) The Stay is subject to availability and must be booked in advance. In order to book, the winner must contact Radley through the email address given in the Notification. The Stay is valid for 6 months from the date of issue, however any delays due to COVID shall be taken into account.

e) The winner is responsible for informing Grace & Savour of any dietary requirements or allergens.

f) The choice of Radley Bags is subject to availability and not redeemable on the Picture Bag range.  

g) Radley will be responsible for the cost of shipping the Radley Bags to the winner. The Prize does not include the cost of transportation to and from the Stay outside of what is specified in clause 4(b)(ii), the purchase of any additional items during the Stay not specified in clause 4(b) above, or any other costs in relation to the Prize. Any expense outside of those specified in the prize details in clause 4(b) will be the sole responsibility of the winner.

h) Entry to Grace & Savour shall be at the sole discretion of Grace & Savour. It is the responsibility of the winner and the winner’s guest to ensure that they comply with the rules of Grace & Savour at all times. Radley shall not be responsible for any decision by Grace & Savour to deny entry to the winner and/or the winner’s guest. 

i) The Stay is organised and run by Grace & Savour. Any decisions regarding the Stay are at the sole discretion of Grace & Savour. 

j) Prizes are non-transferable, non-exchangeable, and have a cash value of zero. Prizes are for personal use only and are not for resale. Prizes may be forfeited in the event that Radley determines that the Prize is being misused. Radley reserves the right to substitute the Prize with a prize of an equal or greater value in its absolute discretion. 

5. General

a) Radley reserves the right to amend the rules of the Prize Draw, to withdraw the Prize Draw at any time if circumstances beyond its control make this unavoidable, or to cancel the Prize in the event of non-compliance with these Terms.

b) Radley will use your personal details to contact you for administrative purposes relating to this Prize Draw. 

c) Radley and Grace & Savour at Hampton Manor will keep your personal information safe and will use your personal information in accordance with the privacy policy available on their websites (www.radley.co.uk/help/privacy-cookie-policy/ and https://hamptonmanor.com/privacy-policy/).

d) The winner’s surname and geographic location will be made available. The winner will have the right to object to this information being published or to request a reduction in the amount of information being published. Radley may be required to provide this information to the relevant regulatory authorities.

e) The decision of Radley regarding any aspect of the Prize Draw is final and binding and no correspondence will be entered into about it.

f) Any cancellation or changes will be posted on the relevant Prize Draw page at www.radley.co.uk. 

g) With the exception of liability which cannot be excluded by law, Radley is not liable for, and you release Radley from, liabilities relating to any direct or indirect loss or damage which is suffered, as a result of entering the Prize Draw, failing to win, winning, accepting or using a Prize.

h) This Prize Draw is run by Radley, it has no affiliation with Facebook or Instagram, and they have no liability whatsoever for the running of this Prize Draw. Any complaint about the Prize Draw should be directed to Radley and not Facebook or Instagram.

j) These terms and conditions shall be governed by English law, and the parties submit to the exclusive jurisdiction of the courts of England and Wales

1.        Introduction

b)     The Sweepstakes is organized and run by Radley USA, LLC (“Radley”), Suite 100, 1526 S Good Latimer Expy, Dallas, TX 75226, United States.

c)        By entering this Sweepstakes you agree to these Terms and Conditions (the “Terms”) and any decisions reached by Radley, which are final and binding in all matters related to this Sweepstakes.

d)       The Sweepstakes starts at 09:00 (CDT) 16^th September 2023 and ends at 17:00 (CDT) 23^rd September 2023 (the “Sweepstakes Period”).

e)       The Sweepstakes is void where prohibited.

2.        Who can enter this Sweepstakes?

a)        Participants must:

                                                               i.      be a resident of a state within the United States (other than one of the Excluded Jurisdictions as indicated in Section 2(b) below) or a resident of the District of Columbia;

                                                              ii.      have a postal address in the United States (other than one in one of the Excluded Jurisdictions as indicated in section 2(b) below);

                                                             iii.      have a valid Facebook account; and

                                                             iv.      be aged 18 or over.

b)       Excluded Jurisdictions: The Sweepstakes is not open to residents of the following states: Arizona and Rhode Island.

c)        The Sweepstakes is not open to directors, members, partners, employees, agents or consultants of Radley or its affiliates, any person who directly or indirectly controls or is controlled by Radley, or any supplier of goods or services in connection with the Sweepstakes, or their spouses, life partners, business partners or immediate family members.

d)       By entering the Sweepstakes you hereby warrant that all information submitted by you is true, current and complete. Radley reserves the right to verify the eligibility of all participants and disqualify a participant for submitting false information or otherwise violating these Terms.

3.        How does the Sweepstakes work?

a)        To enter the Sweepstakes on Facebook (https://www.facebook.com/RadleyLondon/?locale=en_US), during the Sweepstakes Period participants must:

                                                               i.      Like Radley London’s Facebook page and continue to do so through the end of the Sweepstakes Period;

                                                              ii.      Like the Birthday Cake Facebook post setting out the Entry instructions for this Sweepstakes (the “Facebook Sweepstakes Post”);

                                                             iii.      Post in the comment section of the Facebook Sweepstakes Post with an answer to “Tell us what you love about Radley London and share with a fellow Radley fan in the comments.” and “#PrizeDraw”; and

                                                             iv.      Tag a Facebook account in the comment section of the Facebook Sweepstakes Post

                                    (together an “Entry”).

b)       Each participant can only enter the Sweepstakes once through Facebook (as set out in clause 3(a) above). Only the first Entry for each platform by each participant will be accepted and constitute a valid Entry. For the avoidance of doubt, if a participant has entered more than once on one platform, only their first Entry will be entered into the Sweepstakes.  Entries that fail to “tell us your favourite Radley memory” and fail to tag another account in the comments will not be counted as a valid Entry and will be void.

c)        For the avoidance of doubt, the tagged account shall not constitute an Entry.

d)       All Entries must be received by Radley during the Sweepstakes Period or they will be void. Radley will not acknowledge receipt of Sweepstakes Entries.  Radley will not accept responsibility for:

                                                               i.      Sweepstakes Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal or other delivery failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or

                                                              ii.      any change in dates, times or cancellations or other arrangements that may prevent a winner from accepting, taking or using a Prize.

e)       On 25^th September 2023, one winner will be selected at random, using a random computer-generated process, from all valid Entries received.  The address at which the winner will be drawn is Etheridge Avenue, Brinklow, Milton Keynes, MK10 0BP. Odds of winning will depend on the number of valid Entries received.

f)         The winners will be notified on 25^th September 2023 via direct message to the account that they used in their Entry (“Notification”).

g)        For the names of all Prize winners, send a self-addressed, stamped envelope to the address set out in clause 1(b), within ninety (90) days of the end of the Sweepstakes Period.   Where legally required, this will be subject to the winner’s consent.

h)       The prize must be claimed in accordance with the instructions in the Notification message, within two days of the Notification (the “Claim Period”). In order to receive their Prize, the winners will also need to provide Radley with any further information requested by Radley, in accordance with the instructions set out in the Notification within this Claim Period. Further, Radley may, in its sole discretion, require the winners to complete and sign before a notary an affidavit which, among other things, confirms the winner’s compliance with these Terms and reaffirms certain of the provisions set forth in these Terms. Failure to claim the Prize in accordance with the instructions in the Notification or to execute a required affidavit within the Claim Period will result in the forfeit of the Prize and an alternative winner will be chosen.

i)         The winners will receive the Prize within 28 days of the date they provide Radley with the information as set out in paragraph 3(h) as well as their choice of Prize.

j)         The winners may be required to provide Radley with proof of identification and of legal residence in order to verify compliance with the eligibility requirements for the Sweepstakes.

k)        If a winner is found to be ineligible or fails to comply with the Terms or otherwise acts in a manner which affects the administration, security, fairness, or proper conduct of the Sweepstakes, then the winner may, in Radley’s sole discretion, be disqualified and an alternate winner will be selected.

4.        What is the Prize?

a)        There will be a total of one winner. In no event will more than the stated number of Prizes be awarded.

b)       The winner will receive one handbag of their choice from https://www.radleylondon.com/ up to the value of $350 (the “Prize”).

c)        Radley will be responsible for the cost of shipping the Prize to the winner. Any other expense outside of those specified in the Prize details will be the sole responsibility of the winner.

d)       The choice of Prize is subject to availability and not redeemable on the Picture Bag range. 

e)       The approximate retail value of the Prize will depend on the Prize chosen by the winner, but will not exceed $350.

f)         Prizes are non-transferable, non-exchangeable, and have a cash value of zero. Prizes are for personal use only and are not for resale. Prizes may be forfeited in the event that Radley determines that the prize is being misused. Radley reserves the right to substitute a prize of an equal or greater value in its absolute discretion.

5.        General

a)        Radley reserves the right to amend the rules of the Sweepstakes, to withdraw the Sweepstakes at any time if circumstances beyond its control make this unavoidable, or to cancel the Prize in the event of non-compliance with these Terms.

c)        Each winner’s surname and state of residence will be published. Each winner will have the right to object to this information being published or to request a reduction in the amount of information being published. Notwithstanding any such objection or request, Radley may be required to, and the winner agrees that Radley may, provide this information to the relevant regulatory authorities or otherwise publish this and/or other information to the extent necessary to comply with these Terms and applicable legal requirements.

d)       Winners will be responsible for all federal, state, and local income taxes resulting from acceptance of the Prize.

e)       The decision of Radley regarding any aspect of the Sweepstakes is final and binding and no correspondence will be considered or entered into about it.

f)         Any cancellation or changes will be posted on the relevant Sweepstakes page at www.radleylondon.com.

g)        With the exception of liability which cannot be excluded by law, Radley is not liable for, and you release Radley from, liabilities relating to any direct or indirect loss or damage which is suffered, as a result of entering the Sweepstakes, failing to win, winning, accepting or using a Prize, or otherwise relating to these Terms and/or the Sweepstakes.  Further, Radley is not responsible for any typographical, technological, or other error in the publishing of these Terms, administration of the Sweepstakes, or announcement of the Prize(s).

h)       This Sweepstakes is run by Radley, it has no affiliation with Facebook, and they have no liability whatsoever for the running of this Sweepstakes. By entering, participants hereby release Facebook to the fullest extent permitted by law, from any and all claims, liabilities and damages.   Any complaint about the Sweepstakes should be directed to Radley and not Facebook.

j)         These Terms shall be governed by and construed under the laws of the State of New York without giving effect to any of its conflict of laws provisions thereof, and the parties submit to the exclusive jurisdiction of the state and federal courts within Dallas County, Texas or New York County, New York with respect to any legal suit, action, or proceeding arising out of or relating to this Sweepstakes, these Terms and/or any Prize. Participant agrees any and all disputes, claims and causes of action arising out of or connected with these Terms, the Sweepstakes and/or any Prize awarded shall be resolved individually, without resort to any form of class action.

c.       For the avoidance of doubt, the tagged account shall not constitute an Entry.

d.       Each participant can only enter the Prize Draw once. Only the first Entry by each participant will be accepted and constitute a valid Entry.  

e.       All Entries must be received by Radley during the Prize Draw Period or they will be void. Radley will not accept responsibility for: 

i.                     Prize Draw Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or

f.        On Wednesday 2nd August 2023, 1 winner will be selected at random, using a random computer-generated process, from all valid Entries received.  

g.       The winner will be notified on Wednesday 2nd August 2023 via direct message to the Instagram account that they entered with (“Notification”). 

h.       The prize must be claimed in accordance with the instructions in the Notification message, within 5 days of the Notification (the “Claim Period”). In order to receive their Prize, the winner will also need to provide Radley with any further information requested by Radley, in accordance with the instructions set out in the Notification within this Claim Period. Failure to claim the Prize in accordance with the instructions in the Notification within the Claim Period will result in the forfeit of the Prize and an alternative winner will be chosen.  

i.         The winner will receive the Prize within 30 days of the date they provide Radley with the information as set out in paragraph 3(h). 

j.         The winner may be required to provide Radley with proof of identification in order to verify compliance with the eligibility requirements for the Prize Draw. 

k.       If a winner is found to be ineligible or fails to comply with the Terms, then the winner may, in Radley’s sole discretion, be disqualified and an alternate winner will be selected. 

4.       What is the Prize?

b.       The winner will receive two identical Radley London handbags of their choice from the “New Arrivals” section on https://www.radley.co.uk/new-arrivals/new-handbags (the “Prize”).

c.       The winner may give one of the handbags to the owner of the tagged account if they wish. The Prize will be posted to the winner, Radley accepts no responsibility for ensuring that the owner of the account tagged by the winner in the Instagram Prize Draw Post receives a handbag.

d.       The Prize does not include the purchase of any additional items during the Prize not specified in clause 4(b) above, or any other costs in relation to the Prize. Any expense outside of those specified in the prize details in clause 4(b), will be the sole responsibility of the winner.

Comment with a lavender coloured emoji and follow us on Instagram to win a bag.’ (the “Instagram Prize Draw Post”); and 

iii. Post in the comment section of the Instagram Prize Draw Post with a lavender coloured emoji

The winner will be notified by Friday 24th February via Instagram Direct Message (“Notification”) to the account that entered.   For the names of all Prize winners, send a self-addressed, stamped envelope to the address set out in clause 1(b), within ninety (90) days of the end of the Prize Draw Period.   

h. The prize must be claimed in accordance with the instructions in the Notification message, within 5 days of the Notification (the “Claim Period”). In order to receive their Prize, the winner will also need to provide Radley with any further information requested by Radley, in accordance with the instructions set out in the Notification within this Claim Period. Further, Radley may, in its sole discretion, require the winner to complete and sign before a notary an affidavit which, among other things, confirms the winner’s compliance with these Terms and reaffirms certain of the provisions set forth in these Terms. Failure to claim the Prize in accordance with the instructions in the Notification or to execute a required affidavit within the Claim Period will result in the forfeit of the Prize and an alternative winner will be chosen. 

i. The winner will receive the Prize within 30 days of the date they provide Radley with the information as set out in paragraph 3(h).

j. The winner may be required to provide Radley with proof of identification in order to verify compliance with the eligibility requirements for the Prize Draw.

k. If a winner is found to be ineligible or fails to comply with the Terms, then the winner may, in Radley’s sole discretion, be disqualified and an alternate winner will be selected.

4. What is the Prize?

a. There will be one winner.

c. The choice of Prize is subject to availability. 

d. The approximate retail value of the Prize will depend on the handbag chosen by the winner.

e. Prizes are non-transferable, non-exchangeable, and have a cash value of zero. Prizes are for personal use only and are not for resale. Prizes may be forfeited in the event that Radley determines that the prize is being misused. Radley reserves the right to substitute a prize of an equal or greater value in its absolute discretion. 

5. Intellectual Property Rights and Use of Submissions

a. By submitting an Entry to the Prize Draw, participants agree that any such photos/images are their original creation and will not infringe the intellectual property rights or other rights of any third party.

b. Participants will retain ownership of the copyright in their Entries to the Prize Draw.

c. By submitting an Entry to the Prize Draw, the participant grants Radley the worldwide right to use the Entry in relation to the Prize Draw, in advertising and/or marketing of Radley’s products and brand. Such use may include, without limitation, reproducing, copying, translating, adapting, publishing or making available your Entry on Radley’s websites, on any social media account controlled by Radley (or approved third party partners/affiliates), and in Radley’s other advertising and/or marketing materials. (together an “Entry”).

b)       For the avoidance of doubt, the person mentioned in the comment on the Facebook Sweepstakes Post shall not constitute an Entry.

4.        What is the Prize?

a)        There will be a total of 1 winner.  In no event will more than the stated number of Prizes be awarded.

b)       The winner will receive the following:

i.            A £1,000 voucher for The Hoxton hotel, located at 199-206 High Holborn, London WC1V 7BD, United Kingdom;

ii.            A voucher for American Airlines to the value of $2,000;

iii.            Traditional afternoon tea for 2 people at Claridge’s (Brook Street, London W1K 4HR, United Kingdom); and

iv.            A shopping appointment at our Floral Street store (37 Floral St, London WC2E 9DJ, United Kingdom) for two handbags

(together the “Prize”).

c)        The winner may take the person mentioned in the comment of the Facebook Sweepstakes Post if they wish, however Radley accepts no responsibility for ensuring that the person mentioned by the winner in their Entry receives part of the Prize.

d)       The Prize is subject to availability and must be booked in advance. The Prize must be taken between January 1^st and April 30^th 2023.

e)       The Hoxton hotel voucher, the American Airlines voucher and the traditional afternoon tea for 2 people at Claridge’s shall be provided to the winner in the form of an electronic voucher. The winner is responsible for booking the hotel stay, the flights and the traditional afternoon tea at Claridge’s, and for ensuring that they meet the necessary entry, exit and visa requirements.

f)         The winner must inform Radley (using the contact details provided to them in the Notification, or another contact as advised by Radley) at least 12 hours before they intend to visit the Floral Street store to collect their handbags.

g)        The winner is responsible for informing The Hoxton and Claridge’s of any dietary requirements or allergens.

h)       The Prize is subject to The Hoxton’s and Claridge’s Terms and Conditions.

i)         The Prize does not include the cost of any transportation not specified in clause 4(b) above, the purchase of any additional items during the Prize not specified in clause 4(b) above, or any other costs in relation to the Prize. Any expense outside of those specified in the prize details in clause 4(b), will be the sole responsibility of the winner.

j)         Entry to The Hoxton and Claridge’s shall be at the sole discretion of The Hoxton and Claridge’s. It is the responsibility of the winner and the winner’s guest to ensure that they comply with the rules of The Hoxton and Claridge’s at all times. Radley shall not be responsible for any decision by The Hoxton or Claridge’s to deny entry to the winner and/or the winner’s guest.

g. The Prize must be claimed in accordance with the instructions in the Notification message, within seven (7) days of the Notification (the “Claim Period”). In order to receive their Prize, the winner will also need to provide Radley with any further information requested by Radley in accordance with the instructions set out in the Notification within this Claim Period. Further, Radley may, in its sole discretion, require the winner to complete and sign before a notary an affidavit which, among other things, confirms the winner’s compliance with these Terms and reaffirms certain of the provisions set forth in these Terms. c. (each the “Voucher” and each the “Prize”). 

d. The Voucher cannot be used on sale items or in conjunction with any discount, offer or promotion and all products are subject to availability and subject to Radley’s usual delivery charges as set out on Radley’s UK website (https://www.radley.co.uk)) or Radley’s US website (https://www.radleylondon.com/) as applicable. Notwithstanding any such objection or request, Radley may be required to, and the winner agrees that Radley may, provide this information to the relevant regulatory authorities or otherwise publish this and/or other information to the extent necessary to comply with these Terms and applicable legal requirements. 

f. Winners will be responsible for all federal, state, and local income taxes resulting from acceptance of the Prize. 

g. The decision of Radley regarding any aspect of the Prize Draw is final and binding and no correspondence will be considered or entered into about it.

i. j. This Prize Draw is run by Radley, it has no affiliation with Instagram, and they have no liability whatsoever for the running of this Prize Draw. By entering, participants hereby release Instagram, to the fullest extent permitted by law, from any and all claims, liabilities and damages. Any complaint about the Prize Draw should be directed to Radley and not Instagram.

1. Introduction

a) NO PURCHASE IS NECESSARY TO ENTER OR WIN THE SWEEPSTAKES AND ENTRY IS FREE.

b) The Sweepstakes is organized and run by Radley USA, LLC (“Radley”), Suite 100, 1526 S Good Latimer Expy, Dallas, TX 75226, United States.

c) By entering this Sweepstakes you agree to these Terms and Conditions (the “Terms”) and any decisions reached by Radley, which are final and binding in all matters related to this Sweepstakes.

d) The Sweepstakes starts at 16:00pm Central Daylight Time 30/07/22 and ends at 23:59pm Central Daylight Time 02/08/22 (the “Sweepstakes Period”).

e) The Sweepstakes is void where prohibited.

2. Who can enter this Sweepstakes?

a) Participants must:

i. be a resident of a state within the United States (other than one of the Excluded Jurisdictions as indicated in Section 2(b) below) or a resident of the District of Columbia; 

ii. have a postal address in the United States;

iii. have a valid Facebook account; and

iv. be aged 18 or over. 

b) Excluded Jurisdictions: The Sweepstakes is not open to residents of the following states: Arizona and Rhode Island.

c) The Sweepstakes is not open to directors, members, partners, employees, agents or consultants of Radley or its affiliates, any person who directly or indirectly controls or is controlled by Radley, or any supplier of goods or services in connection with the Sweepstakes, or their spouses, life partners, business partners or immediate family members.

d) By entering the Sweepstakes you hereby warrant that all information submitted by you is true, current and complete. Radley reserves the right to verify the eligibility of all participants and disqualify a participant for submitting false information or otherwise violating these Terms.

3. How does the Sweepstakes work?

a) To enter the Sweepstakes on Facebook (www.facebook.com/RadleyLondon), during the Sweepstakes Period participants must:

i. Like Radley London on Facebook; 

ii. Post in the comment section of the #TwinningIsWinning Liverpool Street 2.0 Pearly Facebook post (the “Facebook Sweepstakes Post”), tagging another Facebook account.  

       (together an “Entry”). 

b) For the avoidance of doubt, the tagged account shall not constitute an Entry.

c) Each participant can only enter the Sweepstakes once. Only the first Entry by each participant will be accepted and constitute a valid Entry.  

d) All Entries must be received by Radley during the Sweepstakes Period or they will be void. Radley will not acknowledge receipt of Sweepstakes Entries.  Radley will not accept responsibility for:

i. Sweepstakes Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal or other delivery failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or

ii. any change in dates, times or cancellations or other arrangements that may prevent a winner from accepting, taking or using a Prize.

e) On 03/08/22, 1 winner will be selected at random, using a random computer-generated process, from all valid Entries received.  The location at which the winner will be drawn is Etheridge Avenue, Brinklow, Milton Keynes, MK10 0BP. Odds of winning will depend on the number of valid Entries received.

f) The winner will be notified on 04/08/022 via direct message to the Facebook account that they entered with (“Notification”).

g) For the names of all Prize winners, send a self-addressed, stamped envelope to the address set out in clause 1(b), within ninety (90) days of the end of the Sweepstakes Period.   

h) The prize must be claimed in accordance with the instructions in the Notification message, within 5 days of the Notification (the “Claim Period”). In order to receive their Prize, the winner will also need to provide Radley with any further information requested by Radley in accordance with the instructions set out in the Notification within this Claim Period. Further, Radley may, in its sole discretion, require the winner to complete and sign before a notary an affidavit which, among other things, confirms the winner’s compliance with these Terms and reaffirms certain of the provisions set forth in these Terms. Failure to claim the Prize in accordance with the instructions in the Notification or to execute a required affidavit within the Claim Period will result in the forfeit of the Prize and an alternative winner will be chosen. 

i) The winner will receive the Prize within 7 days of the date they provide Radley with the information as set out in paragraph 3(g). 

j) The winner may be required to provide Radley with proof of identification and of legal residence in order to verify compliance with the eligibility requirements for the Sweepstakes.

k) If a winner is found to be ineligible or fails to comply with the Terms or otherwise acts in a manner which affects the administration, security, fairness, or proper conduct of the Sweepstakes, then the winner may, in Radley’s sole discretion, be disqualified and an alternate winner will be selected.

4. What is the Prize?

a) There will be 1 winner. In no event will more than the stated number of Prizes be awarded.

b) The winner will receive two (2) Liverpool Street 2.0 Pearly bags (SKU: #H6375348) (the “Prize”).

c) The winner may give one of the Liverpool Street 2.0 Pearly Bags to the owner of the tagged account if they wish. The Prize will be posted to the winner, Radley accepts no responsibility for ensuring that the owner of the account tagged by the winner in the Facebook Sweepstakes Post receives a Liverpool Street 2.0 Pearly bag.

d) The Prize does not include the purchase of any additional items during the Prize not specified in clause 4(b) above, or any other costs in relation to the Prize. Any expense outside of those specified in the prize details in clause 4(b), will be the sole responsibility of the winner.

e) The approximate retail value of the Prize is $556.

f) Prizes are non-transferable, non-exchangeable, and have a cash value of zero. Prizes are for personal use only and are not for resale. Prizes may be forfeited in the event that Radley determines that the prize is being misused. Radley reserves the right to substitute a prize of an equal or greater value in its absolute discretion. 

5. Intellectual Property Rights and Use of Submissions

a) By submitting a Sweepstakes Entry, participants agree that any such photos, images, music or other content are their original creation and do not and will not infringe the intellectual property rights or other rights of any third party and will not depict any individuals that have not granted permission to be featured therein or use music or other content for which the owner has not granted permission.

b) Participants will retain ownership of the copyright in their Sweepstakes Entries.

c) By submitting an Entry to the Sweepstakes, the participant grants Radley and its affiliates the worldwide right to use the Entry in relation to the Sweepstakes, in advertising and/or marketing of Radley’s and its affiliates’ products and brands. Such use may include, without limitation, reproducing, copying, translating, adapting, publishing or making available your Entry on Radley’s and its affiliates’ websites, on any social media account controlled by Radley (or approved third party partners/affiliates), and in Radley’s and its affiliates’ other advertising and/or marketing materials. The rights granted in this clause are perpetual (i.e. they last forever), and royalty-free (i.e. the participant will not be entitled to any compensation or other payments from Radley).

d) All participants irrevocably waive all moral rights in their Entries to which they are entitled.

a) Radley reserves the right to amend the rules of the Sweepstakes, to withdraw the Sweepstakes at any time if circumstances beyond its control make this unavoidable, or to cancel the Prize in the event of non-compliance with these Terms.

e) The winner’s surname and state of residence will be published. The winner will have the right to object to this information being published or to request a reduction in the amount of information being published. Terms & Conditions for the #NationalProsecco Day @radleylondon Instagram Prize Draw (the “Prize Draw”)

1. Introduction

            a)    The Prize Draw is organised and run by Radley + Co Ltd (“Radley”), who can be contacted at Etheridge Avenue, Brinklow, Milton Keynes, MK10 0BP.

            b)    By entering this Prize Draw you agree to these Terms and Conditions (the “Terms”) and any decisions reached by Radley, which are final and binding in all matters related to this Prize Draw.

            c)    The Prize Draw starts at 9:00am BST 13 August 2022 and ends at 23:59pm BST 16 August 2022 (the “Prize Draw Period”).

    2. Who can enter this Prize Draw?

            a)    Participants must:

                    ii)be aged 18 or over; and

                    iii)And be a resident of the United Kingdom.

    3. How does the Prize Draw work?

                        i)    Follow Radley London on Instagram; 

                        ii)    Like the #NationalProseccoDay Instagram reel post setting out the Entry instructions for this Prize Draw (the “Instagram Prize Draw Post”); and

                        iii)    Post in the comment section of the Instagram Prize Draw Post tagging another account.  

    (together an “Entry”). 

            c)    For the avoidance of doubt, the tagged account shall not constitute an Entry.

            d)    Each participant can only enter the Prize Draw multiple times provided that each entry constitutes a valid Entry. Entries that fail to satisfy the Entry requirements set out in clause 3(b) will not be counted as a valid Entry and will be  void  

            e)    All Entries must be received by Radley during the Prize Draw Period or they will be void. Radley will not accept responsibility for:

                            i)    Prize Draw Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind; or

                            ii) any change in dates, times or cancellations or other arrangements that may prevent a winner from accepting, taking or using a prize.

            f)    On 17 August 2022, one winner will be selected at random, using a random computer-generated process, from all valid Entries received.  

            g)    The winner will be notified on 18 August 2022 via Instagram Direct Message to the account that they entered with (“Notification”).    

                        i)    The prize must be claimed in accordance with the instructions in the Notification message, within 5 days of the Notification (the “Claim Period”). In order to receive their Prize, the winner will also need to provide Radley with any further information requested by Radley, 

            h)    in accordance with the instructions set out in the Notification within this Claim Period. Failure to claim the Prize in accordance with the instructions in the Notification within the Claim Period will result in the forfeit of the Prize and an alternative winner will be chosen. 

            i)    The winner will receive the Prize within 1 week of the date they provide Radley with the information as set out in paragraph 3(h).

            j)    The winner will be required to provide Radley with proof of identification in order to verify compliance with the eligibility requirements for the Prize Draw..

            k)    If a winner is found to be ineligible or fails to comply with the Terms, then the winner may, in Radley’s sole discretion, be disqualified and an alternate winner will be selected

4. What is the Prize?

            a)    There will be one winner.

            b)    The winner will receive:

                        i)    Two (2) Liverpool Street 2.0 Mock Croc (SKU: H6831205); and

                        ii)    One (1) x bottle of Prosecco Bollicini for two people to be consumed at Eataly London (located at 135 Bishopsgate, London EC2M 3YD) (the “Eataly London Prize”).

            c)    The winner may give one of the Liverpool Street 2.0 Mock Croc bags to the owner of the tagged account if they wish. The Liverpool Street 2.0 Mock Crocs will be posted to the winner, Radley accepts no responsibility for ensuring that the owner of the account tagged by the winner in the Instagram Prize Draw Post receives a Liverpool Street 2.0 Mock Cros bag.

            d)    The winner is responsible for informing Eataly London of any dietary requirements or allergens for themselves and their guest. 

            e)    For the avoidance of doubt, the winner’s chosen guest to the Eataly London must also be over the age of 18, and will be required to provide proof of identification in order to verify this.

            f)    The Eataly London Prize is subject to availability and must be booked in advance. In order to book, the winner must liaise with Radley through the Notification detailed at clause 3(h).

            g)    The Eataly London Prize is valid for 6 months from Winner Notification. 

            h)    Entry to Eataly London shall be at the sole discretion of Eataly London. It is the responsibility of the winner and the winner’s guest to ensure that they comply with the rules of Eataly London at all times. Radley shall not be responsible for any decision by Eataly London to deny entry to the winner and/or the winner’s guest.  

            i)    The Eataly London Prize is organised and run by Eataly London. Any decisions regarding the Eataly London Prize are at the sole discretion of Eataly London.

            j)    The Prize does not include the cost of transportation to and from the Eataly London Prize or any additional items, or any other costs in relation to the Prize. Any expense outside of those specified in the prize details in clause 4(b), will be the sole responsibility of the winner.
